Constitution of Unique85 Association

THE REVISED CONSTITUTION OF THE UNIQUE85 ASSOCIATION 2021

ARTICLE 1.

1:1. NAME: This association shall be known as UNIQUE85 ASSOCIATION hereinafter referred to as “the association”.

1:2. ADDRESS: A place of business shall be temporarily assumed  to be the premises of St. Saviour’s College Umuaka or any other location as may be determined by the executive committee.
1:3. MOTTO, SEAL, and LOGO:
(a). The motto shall be
“Our Best For All”
(b). The seal and logo represents
(i). Men standing together in unity for a common purpose against the background of our past.
(ii)The breast plate of our alma mater
(iii). The sky blue color represents the school uniform of our alma mater
(iv). The book represents our student days in High School Umuaka between 1980-1985.
(v).The vector with our official motto in burgundy represents the color of sleeveless school vest

(vii). The white background is the white shirt of our school uniform and a symbol of peace.

 

ARTICLE 2. AIMS AND OBJECTIVES

Having been brought together in our early teenage years as boys, but now evolved into men; Surviving the vicissitudes of life to become the heroes we are today for our families, our communities, and our alma mater; We are resolved therefore by means of this union to achieve the following-
2.1. We will be UNIQUE in our deeds, UNITED in our purpose and DILIGENT in the pursuit of our goals.
2.2. To promote the spirit of unity; foster camaraderie  and  stimulate social interaction among its members.
2.3. To support its members financially and emotionally by various collective endeavors and initiatives. Including but not limited to fundraising, public relations efforts or any other means as may be deemed effective in achieving this goal. The nature, qualifications and circumstances for this assistance must be as stipulated in article no 4 of this constitution.
2:4. To encourage interest and participation among members in the overall well-being of our alma mater either individually or as a collective body.
2:5. To make a meaningful difference to our generation, by converging all our God-given individual talents for the benefit of all members. Ensuring that we thrive together and carry each other to the best of our abilities.

2:6. To achieve any such further objectives as the association may from time to time determine, provided always that these objectives are consistent with the overall purpose of the association and relevant laws.

 

ARTICLE 3: MEMBERSHIP

3:1. ELIGIBILITY OF  MEMBERSHIP. Membership of this association shall be open to all former students of the Boys High School Umuaka who belong to the graduating class of 1985, and/or must have been enrolled officially as students between 1980 to 1985 with the possibility of graduation in the year 1985.
3:2. PROCESS  OF MEMBERSHIP
Any new member must be recommended by at least two existing members and confirmed by at least one member of the Executive Committee as a bonafide ex-student of the 1980-1985  class of the school.
3:3. TYPES OF MEMBERSHIP.
(a). ORDINARY MEMBER:
All eligible members who have registered their membership by payment of the official annual membership subscription fees.
(b). HONORARY MEMBER:
Any non eligible member, who is of impeccable repute and have in the past or present demonstrated significant interest in; or done meaningful contributions for the promotion of the goals of the association can apply or be conferred an honorary membership. However such persons must be approved by a simple majority vote of all members. An honorary member can not vote nor be voted for.
3:4. FORFEITURE OF MEMBERSHIP
(a) Any member who wishes to resign  from the association should submit a resignation letter to the General Secretary in writing and indicate his reasons for so doing. In the event of cessation of membership, no previous financial contributions or fees paid will be refunded.
(b). Any member who has consistently acted in a manner contrary to the good interest of the association, and being found guilty, can be expelled from the association by a two-third(2/3) majority vote of the general assembly upon the recommendation of the Executive committee.
3:5. MEMBERSHIP SUBSCRIPTION
(a). The amount for the annual membership subscription shall be Two Thousand and Five Hundred Naira(N2,500.00) only.
(b). Any member shall have the option to make  a subscription payment of as many years as possible upfront, or make  a one-time payment of Twenty Five Thousand Naira(25,000.00) only, which shall be considered as a lifetime membership subscription.

(c). The membership subscriptions can be reviewed by the Executive Committee every two(2) years, based on a proper assessment of administrative costs and the current rates of inflation, but subject to the approval of the general assembly.

 

ARTICLE 4. RIGHTS AND BENEFITS OF MEMBERS

A member shall be entitled to the following rights and benefits as stated herein.
4:1. CONDITIONS:
A member shall be eligible for the below listed rights and benefits of members of this association if
(a). He is a registered member of this association for not less than a six months period.
(b) He is a member in good standing prior to the occurrence of the incident that requires assistance.
(c). A ‘member in good standing’ for the purpose of this constitution is defined as a member who is registered with the association for at least a six(6) month period; participates in at least fifty percent (50 %) of the activities of the association; owes no financial debt to the association , and abides by the rules and regulations of this association as set forth in this constitution.
4:2. Rights
(a).  Every registered member in good standing (except an honorary member) shall have the right to vote and be voted for, in all the elections of the association amongst others.
(b). A member shall have the right to express his views on any issue(s) concerning the association according to the laid down procedures enumerated in Article  10 of this constitution.
(c). All members shall have equal rights, and access to the association’s amenities and documents. Such request shall be in writing and must be approved by the general assembly. Any cost associated with the request such as copying documents shall be paid by the requesting member.
4:3. BENEFITS:
(a). Death of a member:
A bereavement benefit shall be paid to an immediate family of a member upon his death. To be eligible, such member must have been in good standing prior to his death, and the association must receive an official notification from the immediate family of the deceased within three (3) weeks of such death. Upon review, the association will pay to the immediate family namely, surviving spouse or children(referred to as the next of kin) a fixed amount of Two Hundred and Fifty Thousand Naira (N250, 000.00), on or before the burial date. Every member will be required to pay a minimum sum of Five Thousand Naira (N5000.00) to defray this cost.
In addition to the fixed amount, a  sympathy donation shall be conducted on the platform for such a member and all fund derived therefrom shall be handed over to the next of kin.
(b). Death of a member’s spouse:
A bereavement benefit shall be paid to a member in good standing upon the death of the member’s spouse. The Association must receive an official notification from the member about the death of his spouse within three (3) weeks of such death. The member shall be paid the sum of Two Hundred Thousand  Naira (N200, 000.00) on or before the burial date. Every member will be required to pay a minimum sum of Five Thousand Naira (N5000.00) to defray this cost. Members shall have the option to make a free will donation of any amount directly to the bereaved member in addition to the basic levy if they choose to do so. A member shall be entitled to this benefit only once, regardless of the number(s) of spouse(s) he may have. Members living within the vicinity of the occasion are strongly encouraged to physically attend the funeral.
(c). Death of a member’s biological parents:
A bereavement benefit shall be paid to a member in good standing upon the death of any of the member’s parents. Upon review, the association will pay the member the sum of One Hundred Thousand Naira (N100, 000.00) on or before the burial date. Each member will be required to pay a minimum sum of Two Thousand and Five Hundred naira (N2,500.00) to defray this cost. Members within the vicinity of the occasion are strongly encouraged to physically attend the funeral. Members shall have the option to make a free will donation of any amount directly to the bereaved member in addition to the basic levy if they choose to do so.
(d). Member in Distress:
A member in distress is hereby defined as a member in good standing who is incapacitated due to severe ill-health, by reason of which he is unable to work or engage in any type of employment. The reason for this type of assistance is to help the member financially in order to access better medical treatment. The Executive committee shall send a three(3) man delegation for evaluation of the situation and recommendation. If the member meets the conditions outlined in this paragraph, the association will provide the ailing member a one-time member in distress benefit of one hundred thousand Naira (N100, 000.00) payable within 30 days of the three(3) man committee report. Members shall be required to pay the sum of Two Thousand and Five Hundred Naira(N2,500.00) to defray this cost. Members shall have the option to make a free will donation of any amount directly to the member in distress in addition to the basic levy if they choose to do so.
(e). Incidental Powers: The rights and benefits of members enumerated herein are not exhaustive. The Executive committee with the approval of the General Assembly shall have the power to expand or contract these benefits, as and when it deems fit.

(f). Any fund realized in excess of the specified amount due to a member after contributions for a particular member assistance, except in the case of ‘death of member’, shall be deposited in the welfare funds of the association’s bank account.

 

ARTICLE 5. OFFICERS OF THE ASSOCIATION

All elected officials of this association are members who have freely and willingly volunteered to serve,  and shall not receive financial remuneration or salaries for the performance of their duties.
5:1. TENURE: All officIals shall be elected by a majority vote of all members for a term of two(2) years, and shall not be eligible to serve for more than two (2) consecutive terms in the same office.
5:2.
(a).THE PRESIDENT:
(i). He shall be responsible for the general administration and welfare of the association.
(ii). He shall preside over every meeting of the association and the Executive Committee.
(iii). He shall have the power in conjunction with the Executive Committee to set up and appoint members of sub-committees of the association for a specific purpose, and shall draft the points of references for the operation of such committees.
(iv).He shall be an ex-officio member of all sub-committees of the association.
(v). As an ex-officio member, he will act in his capacity as an ‘observer’ and ‘contributor’ in all the deliberations of any committee, but shall not be able to cast a vote for the committee to reach a decision on any given issue.
(vi). He shall represent the association in its dealings with other persons or organizations or delegate this responsibility to any other official or member in a situation where none of the elected officials are able to do so.
(vii). He shall be responsible to convene through the Secretary General, all the meetings of the association in the furtherance of its goals .
(viii). He shall coordinate the activities of other officers of the association for the common good.
(ix). He shall be responsible for signing all minutes of meetings when adopted.
Likewise he shall be responsible for signing the constitution or any aspect(s) of the constitution into law after it has been approved and adopted by the general assembly.
(x). He shall enforce all the provisions of this constitution
5:3. The VICE PRESIDENT
(i). He shall assist the president in the general discharge of his duties.
(ii). He shall deputize on his behalf and preside over meetings in the absence of the president.
(iii). He shall act in the capacity of the president should the latter’s office be vacant by reason of any unforeseen circumstances until at such a time when an election is called.
(iv). He shall carry out any other duties as directed by the president.
5:4. THE GENERAL SECRETARY.
(i). He shall perform all the secretarial duties of the association including keeping a record of all meetings, correspondences and summoning of meetings in consultation with the president.
(ii). He shall keep a register and up to date record of all members.
(iii). He shall assist the Public Relations Officer in the management and daily operations of the association’s online platform as well as its website, in order to keep members connected and abreast of the association’s activities.
(iv). He shall furnish an annual special report of the activities of the association and its organs at the annual general meeting of the association.
(v). He shall execute the association’s mandate and decisions.
5:5. FINANCIAL SECRETARY
(i). He shall collect and
keep an up-to-date account of all monies collected and paid to the treasurer or into the association’s bank account.
(ii). He shall be responsible for the keeping of accurate financial records and preparation of the annual balance sheet of the association which should include a record of all its expenditures and deposits.
(iii). He shall make his book of account available to the General assembly or Executive Committee at any time upon request.
(iv). He shall prepare from time to time the list of members defaulting in payments, and shall circulate such lists to the General assembly or the Exco as at when needed.
(v). He shall maintain regular communications with members, on and off the platform to ensure that their financial obligations to the association are complied with in a timely manner.
(vi). Any other duty as may be determined by the Exco or the President.
5:6. The PUBLIC RELATIONS OFFICER
(i). He shall be responsible to present a correct and dynamic image of the association and ensure adequate publicity for all its activities.
(ii). He shall ensure the proper coordination and execution of all social activities of the association, including but not limited to, planning and organizing meeting venues and details, attendance of burial ceremonies of bereaved members, weddings, special outings, ensuring that the social and welfare needs of members are fulfilled amongst others.
(iii). He shall be responsible for the management of the online platforms as well as the official website of the association in the furtherance of his duties.
(iv). He shall represent the association in all outings and liase with other similar organizations or persons with the consent of the president for the maximum benefit of the association.
(v). Carry out other duties that may be assigned to him by the president or the executive committee.
5:7. The TREASURER
(i). He shall receive all monies on behalf of the association and notify the financial Secretary especially cash payments. He must ensure that these are deposited into the association’s account not more than  forty eight(48) hours after its receipt.
(ii). He shall be responsible for the financial planning of the association, budgeting and the management of its fixed assets and stocks
(iii). He shall be the custodian of the association’s properties such as gifts, presents, other assets and tangible materials belonging to the association.
(iv).He shall ensure that at all times the financial records are transparent and implement measures to have this visible to members at all times.
(iv). He shall prepare or cause to be prepared, an annual financial statement of account of the association which should be presented to all members no later than the 30th day of January every year.

(v). He shall ensure that all the association’s properties and assets in his care are handed over to his successor or the executive committee as the circumstances may dictate on leaving office.

 

ARTICLE 6. THE EXECUTIVE COMMITTEE

Hereinafter referred to as the “Exco”
6:1. Composition.
(a). The Exco shall be comprised of all the elected officials of the association as listed in Article 5.
6:2. ROLE OF THE EXCO
(a). The Executive committee shall be responsible for the general management of the affairs of the association.
(b). It shall have power to establish and appoint members of sub-committees as may be deemed necessary to realize specific organizational goals.
(c). To consider and make recommendations to the general members of any application or intent of conferment of honorary membership.
(d). It shall have powers to make rules and bye-laws for management purposes but this must not be inconsistent with the constitution and subject to ratification by members.
6:3. QUORUM OF EXCO.
A quorum of any meeting of the Executive committee must consist of the President and/or the Vice President and any other three(3) members of the committee.
6:4. DECISION MAKING.

A decision can be reached in any of the meting through a simple majority of votes cast.

 

ARTICLE 7 BOARD OF TRUSTEES

7:1. COMPOSITION:
(a).The board of trustees shall be made up of three(3) members in good standing.
(b).They shall be men of utmost integrity who would provide the benefit of their experience and guidance in order to best promote the traditions and objectives of the association.
7:2.TERMS:
(a).They shall be appointed by the Executive Committee for a four(4) year term and ratified by the general assembly.
(b).They shall be eligible to be re-appointed without limit.
(c). The members shall elect or appoint a chairman of the board from amongst them.
(d). A trustee can not also be an elected official at same time. He is qualified to vie for an elected office as a member of the association but must first resign his position as a member of board.
(e).Trustees shall cease to hold office if
(i). He ceases to be a member of association
(ii). Is declared to be insane or bankrupt
(iii). Resigns his office
(iv). Is recommended for removal by a 2/3 vote of members.
(v). Is convicted of a criminal offense of high moral turpitude by a court of competent jurisdiction.
7:3.DUTIES:
(a). They shall be responsible for holding “in trust” the funds, assets and/or property belonging to the association with a fiduciary duty to protect them.
(b). They shall have the role of oversight. To ensure that the mission and vision of the association are not compromised in the overall management of the association.
(c). They shall have the right to at anytime demand for the financial records of the association to ensure that its financial health and assets are protected.
(d). They shall have the power to cast the decisive vote if a stalemate develops in reaching a decision in the Executive Committee.
(e). They shall arrive at that singular decision by means of a simple majority vote amongst them.
(f). They shall ensure that the organisation’s operations are in conformity with the law and not at variance with public policy.
(g). They shall act as an advisory body to the Executive Committee on issues of dire significance.
(h). In the event of a dissolution of the Executive they shall have the responsibility to form an interim government ,and conduct a fresh  election within three(3) months.

(i). They shall act as intermediaries, and shall use any means at its disposal  to resolve any grievances or conflicts that may arise within the association either between the Executive Committee and the general members or otherwise.

 

ARTICLE 8. ELECTION OF OFFICERS

This association shall elect officers as elaborated in Article 5 to manage its affairs after every two year period, for a term of two (2) years.
8:1.  ELECTION ELIGIBILITY.
Any member (with the exception of an honorary member) in  good standing as described in Article 4 of this constitution being “a registered member  who has no outstanding financial debt to the association; participates in at least 50% of the association’s activities and abides by the rules and regulations of the association as set forth in this constitution”
shall have the right to vote and be voted for, to any elected office of the association.
8:2.HOW TO CALL FOR AN ELECTION.
(a). The Executive Committee shall be responsible to call for an election and shall set up an electoral sub committee of not more than four members appointed from its members, who shall be charged with the details of organizing the election and announcing the results.
(b).The sub committee shall have the power to set up rules for this purpose which shall not be inconsistent with the constitution and subject to the approval of the general members.
(c).They shall  have the power to enforce the provisions of the constitution and sanction any contestant who violates the rules.
(d). In the case of the first election of this association whereby there is no pre-existing Executive Committee, the general members shall appoint among themselves members of a special electoral committee who shall exercise such powers of the electoral committee as described above in Article 7:2(b)
(e). For the purpose of the first ever election of this association, all members registered on the social network platform, shall be tentatively considered as “members in good standing” which will prequalify such persons to vote and be voted for, solely for election purposes. After the first general elections and the establishment of an Executive Committee and the association’s bank account, all members will have to officially register their membership through the payment of the annual membership subscription fees in order to qualify as an officially registered member of the association.
8:3. NOMINATION PROCEDURES.
(a). The chairman of the electoral committee shall announce the dates and schedule of the elections to the members at least fourteen(14) days prior to the time. (b). He shall make known the electoral positions to be filled and any member interested in any of the positions shall be nominated officially for such positions by at least two(2) members in good standing.
(c).Their nominations shall be sent to the electoral committee who shall then announce all nominations to the General assembly.
(d). No member shall be nominated for more than two(2) electoral offices at the same time.
8:4. CAMPAIGN PROCEDURES.
(a). All nominated candidates for vacant positions shall be allotted a specified number of times and format(which may include but not limited to,  short videos, digital posters, written essays or voice overs) to present their case for the positions they are vying for. This should be done through the association’s social network platform, its website, and any other medium as may be determined by the electoral commission.
(b) Candidates also should be allowed to make behind the scene calls and lobbying as part of the campaign process.
(c). All contents of the campaign process should be devoid of calumny, blackmail or derogatory language and should conform to the highest norms of decency.
(d) The electoral commission shall have the power to establish bye-laws to govern the entire campaign process as it considers necessary in order to ensure that the objectives of the association and its constitution are not violated.
8:5. VOTING PROCEDURES.
(a). The electoral commission shall assign all eligible members of the association a private voting number which shall be known to them only and to the commission,  in order to guarantee the privacy of their secret ballot. Every member shall then cast their vote with this secret number on the association’s website or any other medium platform set up for this purpose. The code name and the vote also shall be displayed on the website for transparency purposes.
(b). The period of voting shall be forty eight(48) hours to enable all members everywhere in the world to have sufficient time to cast their votes. At the end of this forty eight(48) hours counting from Nigerian time, the voting booth shall be closed.
(c). The electoral commission shall announce the results of winners based on a simple majority of total votes cast.
8:6. ELECTION RESULTS
(a).  In the event of candidates having an equal number of votes after the casting of ballots, the electoral commission should call for a new election for that position until a winner emerges.

(b). In the event of a disputed election, the aggrieved candidate can request for a recount by submitting a written letter to the electoral commission and the Executive Committee. Based on their approval, a recount can be made and the details of the voting codes/ process can be disclosed and made public to ascertain the truth.

 

ARTICLE 9. GENERAL/ANNUAL/ SPECIAL MEETINGS.

9:1. Venue/Platform.
(a). In recognition of the fact that a large proportion of members are domiciled in different countries across the globe and in distant locations even within Nigeria; it is therefore to be accepted that most of the association’s meetings be carried out online, making use of a reliable digital social platform. The online platform shall be determined by the EXCO and the General Secretary or the Public Relations Officer and shall ensure that this platform of choice is made known to all members.
(b).  In the event of the Annual General Meeting, the venue shall be determined by the Exco and communicated to all members not less than fifteen(15) days prior to the date.
9:2. HOW TO CALL A MEETING
(a) General meeting.
A general meeting can be convened by the President or Secretary General. The date for such a meeting shall be communicated to all members at least seven(7) days in advance based on Nigerian time. In view of the disparity in Time Zones, a period of Forty Eight(48) hours should be allowed to enable all members in different global locations to fully participate.
Any member who wishes to place an item on the agenda of a meeting may do so by communicating such to the General Secretary at least four (4) days before the date of the meeting.
(b) Annual General Meeting.
An Annual General Meeting should be held once in a year in Nigeria preferably in the month of December or January to coincide with a time when most members visit the homeland for the end-of-year festivities. The exact date, venue and agenda of the meeting shall be determined by the Executive Committee but all members must be duly informed not less than fifteen(15) days in advance.
(C) Emergency Special Meeting
An Emergency Special meeting may be summoned by the Exco on an issue(s) requiring urgent attention of all members. Also it can be convened by the General Secretary upon a written request of not less than 1/3 of members stating their reasons for so doing. No other issue(s) may be discussed except that for which the special meeting was summoned and a notice of not less than five(5) days must be given in advance.
9:3. QUORUM FOR A MEETING.
(a). Upon the commencement of any General,Annual, or Special meeting, the Secretary General or any appointed officer must take a roll call of members present for the time period of 24 hours in order to accommodate everyone from different time zones. Members shall indicate their presence by writing their names and the word “present” underneath, on the online platform. A 1/3 number of members present shall form a quorum. Any conclusion to be derived from such a meeting should be done only 48 hours after commencement to allow as many members as possible to be able to participate. The standard hour of measure shall always be Nigerian time.
(b). The quorum of any EXCO meeting shall be a minimum of four(4) members and must include the President and or Vice President.
9:4. DECISION MAKING.

All decisions in the general, Annual, Special or Exco meetings can be reached by a simple majority of votes cast except in a situation where it is indicated on the contrary.

 

ARTICLE 10. ACCOUNTS AND FINANCE OF ASSOCIATION.

10:1. Bank Account:
The association shall maintain an account in its name in a reputable commercial bank in Nigeria as chosen by the Executive Committee.
10:2. The Signatories:
The signatories to the account shall be The President, The Secretary General, The Financial Secretary and the Treasurer. Any two shall be authorized to sign, but at all times, all four(4) must be made aware of any withdrawals done therewith.
10:3. Remarks:
(a). The association’s financial year shall be from May 01 and end April 30 of every year.
(b). All members are expected to comply with the full payment of their yearly membership subscription dues before the 25th day of April every year, but applicable penalties shall be effective after April 30.
(c). All burial/bereavement levy must be fully paid no more than 30 days from the day it was announced. All other levies must be paid not more than 60 days from the date of announcement.
(d). A member shall lose all rights, privileges and benefits attached to his membership if his financial obligation to the association are not met prior to the stipulated dates.
(e). The Treasurer and the Financial Secretary shall close off the books of the association every April 30th of the year, and shall present to the house the financial statement and balance sheet of the association.
(f). The audited account of the association shall be presented yearly during the annual general meeting.
10:4. Usage of Account
(a). The finances of the association shall be divided into two parts.
(i). The General fund which shall take care of the administrative needs of the association and
(ii). The Welfare fund which shall be used to administer to the needs of its members.
(b). The Treasurer or any member of the Exco should never keep any cash amount belonging to the association in their possession for more than 48 hours except in a situation where the banks are closed beyond such hours.
(c). Any expenditure by any official above a certain prescribed limit, must be approved by the Exco. This amount is to be set forth at the commencement of the term of office of the Executive committee.
10:5. SOURCES OF FUND

The sources of funds shall be derived  from membership subscriptions, contributions,assets, gifts, special levies, donations, fund raising and such other means as may be devised by the Exco and shall not be inconsistent with this constitution and relevant laws.

 

ARTICLE 11. GUIDELINES FOR PARTICIPATION ON THE ONLINE FORUM.

Having accepted that most of the association’s meetings and other businesses may be conducted on an online platform as well; we therefore deem it necessary to stipulate the following guidelines in order to minimize or possibly eliminate scenarios of conflict in social interaction.
11:1. Members who want to register complaints should do so via a written letter to the General Secretary, who will in conjunction with the Exco seek a resolution to the complaint or determine if, how, and when to introduce it to the house floor. Members are advised to observe this due process.
11:2. Members who want to communicate a specific announcement such as death of member, spouse, sickness, birthday or any such related matter should do so by first communicating it to the Public Relations Officer or General Secretary who will then determine if and when to bring it to the notice of the general assembly.
11:3. Members should desist from the use of derogatory, or obscene language against anyone or of any sort on the platform. All communication should be based on mutual respect. Members can disagree on principles or have differing opinions on a relevant issue. But this should be expressed in a constructive and rational manner deserving of good behavior instead of degenerating into personal attacks or a venting of raw emotions.
11:4. The posting of videos and related materials with ultra violent or x-rated content is strictly forbidden. Members are advised to only share materials that should edify, inspire, educate or contribute to the well being of others.
11:5. Members are advised against using the platform to promote the agenda or as campaign ground of any political party. The only exception being if any member  is a candidate of any national political party, he can use the platform to inform all other members of his political intentions and to solicit support. However, he must do so with the prior consent of the Executive Committee and the General Secretary should be responsible to introduce him to the house.
Also when any member is participating for an election into any of the offices of the association, he may use the platform to canvass for votes based strictly on the guidelines set forth by the electoral sub-committee for that purpose.
11:6. All members are advised to always or periodically contribute to the group discussion or meetings based on their abilities. This helps to keep the group alive and maintain the spirit of oneness. Also members are required to have participated in at least fifty percent(50%) of the group discussions and meetings in order to maintain their membership and pre-qualify for any electoral office.

11:7.  Failure of any member to adhere to these guidelines will lead to disciplinary measures as set forth in this constitution and as may be further determined by the Exco. The General Secretary should ensure that every member receives a copy and is made aware of these guidelines upon admission.

 

ARTICLE 12. DISCIPLINE AND CONFLICT RESOLUTION:

12:1. The following disciplinary actions shall be taken against any member or official of the association.
(a) For cases of official misconduct which involves minor offenses which may include but not limited to, negligence of duty, non attendance of meetings, verbal abuse, uncivil behavior amongst others. The following disciplinary measures can be applied such as fines, verbal or written warning or any other related measures as may be deemed fit by the Executive committee.
(b). In cases of gross misconduct which might include but not limited to such offenses as embezzlement of funds, misappropriation, false or inflated costing, discrimination, withholding or misplacement of public funds etc. A five man panel of enquiry should be set up to investigate and allocate the appropriate discipline which may include but not limited to impeachment from office, expulsion, resignation, a vote of no confidence amongst others
12:2. In the event of disputes among members, the EXCO shall have the right to call the contending parties to order and try as much as lies within its power, to have the issues resolved amicably through proper mediation. This may include but not limited to making private phone calls to such members, and other behind-the-scenes measures to achieve this purpose.
12:3. In the event where such a member(s) are recalcitrant to the mediation efforts, then the EXCO shall be responsible to discipline the parties involved through
(a) An official letter of warning issued by the Secretary General and signed by the President.
(b). A temporary suspension of such member(s) from the association’s social platform and of their membership after they have been found to be guilty of any action or conduct that may be prejudicial to the interest and good name of the association.
(C). Finally and only as a last resort, a proceeding for forfeiture of Membership should commence. This shall be proposed by the EXCO and approved by the general membership by means of a simple majority of votes cast.

12:4. In the event of disputes involving ordinary members and the Exco on matters of policy that may not be resolved ordinarily, such issues should be brought to the Board of Trustees who will mediate to find a solution. Also a special general meeting can be convened as stipulated in Article 8.3(c). A decision can be reached by a majority of votes cast. If this fails to be resolved, then the matter may be brought to a court  of law only as a last resort.

 

ARTICLE 13. AMENDMENT AND DISSOLUTION

13:1. Amendment: This constitution may be amended in whole or in part , but any such alteration, addition, or amendment must be by a resolution passed by a 2/3 majority of the members present and voting at the General Meeting of the association. The notice for this meeting should be published by the General Secretary at least 2 weeks prior to the date.
13:2. Dissolution:
(a). The association shall continue to exist until such a time when there are only three(3) surviving members left in the association. At that time, the association’s assets shall be donated, after the satisfaction of all debts and liabilities, for developmental purposes to our parent body St Saviour’s College Old Boys Association or to our alma mater, High School Umuaka if the parent body is not functional.
(b). Dissolution by Special Resolution:
Whereby a minimum total of Ninety percentage (90%) number of registered members shall agree by voting to have the association dissolved in a special general meeting called for that purpose.
(i) This meeting can only be summoned after the Executive Committee and Board of Trustees must have exhausted all possible avenues of conflict resolution.

(ii). In the event of such dissolution, any remains of funds, assets and properties after the satisfaction of all debts and liabilities, shall not be paid or distributed among members of the association but shall be donated for developmental purposes to other institutions having similar objectives, with the first option to our alma mater St Saviours Secondary School Umuaka, or parent body St Saviour’s College Old Boys Association.

 

ARTICLE 14. Commencement.

This constitution was adopted at a meeting held on November 05, 2021,and deemed to have come into effect November 08, 2021.
